Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and BWA ("BWA," "we," "us," or "our"), the operator of bwa.ai and its websites, dashboards, tools, and newsletters (collectively, the "Services"). By creating an account, subscribing, or using the Services in any way, you accept these Terms. If you do not agree to them, do not use the Services.

1. Acceptance of Terms

Your acceptance of these Terms begins when you first access or use the Services and continues for as long as you use them. If you use the Services on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

We may offer parts of the Services under additional terms for specific features, programs, or promotions. If those additional terms conflict with these Terms for that feature, the additional terms control for that feature only.

2. Description of the Services

BWA provides market intelligence and research tools, including market dashboards, portfolio analytics, AI-assisted research and chat features, trading bot simulations, and market newsletters. Some features are available free of charge and others require a paid Premium subscription, as described on our Pricing page.

The Services are informational and research tools. BWA is not a broker-dealer, investment adviser, bank, or other financial institution. We do not execute trades, hold funds or securities, extend credit, or provide personalized investment advice. See Section 7 (Investment Risk and No Professional Advice).

We continually improve the Services, so features, tools, and content may be added, changed, or removed over time, consistent with Section 12 (Termination and Changes to the Services).

3. Eligibility and Accounts

  • You must be at least 18 years old to create an account and use paid features.
  • You must provide accurate, current, and complete registration information and keep it up to date.
  • You are responsible for safeguarding your password and other sign-in credentials, and for all activity that occurs under your account.
  • If you believe your account has been accessed without authorization, notify us immediately at support@bwa.ai.

Account and usage information is handled as described in our Privacy Policy.

4. Acceptable Use

You agree not to, and not to allow others to:

  • use the Services for any unlawful purpose or in violation of any applicable law or regulation, including securities laws and market-manipulation rules;
  • access, scrape, mine, or harvest the Services or their content using automated means (such as bots, crawlers, or scripts) except with our prior written permission or as permitted by law;
  • interfere with or overload the Services, circumvent access controls, rate limits, or security measures, or attempt to gain unauthorized access to our systems, data, or other users' accounts;
  • share, resell, sublicense, or provide third parties with paid access to the Services without our written permission;
  • misrepresent your identity or affiliation, or use the Services to impersonate any person or entity;
  • upload or transmit malware or other harmful code, or introduce content that is infringing, defamatory, or otherwise objectionable; or
  • use AI chat, research, or newsletter outputs to violate any law or regulation, including restrictions on trading by insiders or on the basis of material non-public information.

We may monitor use of the Services for abuse, security, and quality purposes, as further described in our Privacy Policy, and may investigate suspected violations.

5. Subscriptions, Billing, and Cancellation

  • Premium features are billed in advance on the plan and billing cycle shown at signup, through third-party payment processors. We do not store your full payment card details.
  • Subscriptions renew automatically at the end of each billing cycle until you cancel.
  • You may cancel at any time from your account settings or by contacting support@bwa.ai. After cancellation, your paid access continues until the end of the current billing period, and your plan reverts to the Free tier.
  • Fees already paid are non-refundable, except where a refund is required by applicable law. If required by law, we will refund the unused portion of a prepaid period.
  • We may change pricing for new subscriptions or renewals and will give you reasonable advance notice of any change affecting your renewal.

6. Intellectual Property

Our content. The Services, including their software, design, dashboards, analytics, newsletters, charts, documentation, and trademarks, are owned by BWA and its licensors and are protected by intellectual property laws. All rights are reserved. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your own personal or internal research, in line with these Terms. Without our written permission, you may not copy, redistribute, republish, sell, sublicense, or publicly display paywalled content. Brief quotations with attribution and a link back to the Services are permitted.

Your content. You keep ownership of the portfolio data, watchlists, prompts, and other materials you submit to the Services ("Your Content"). You grant BWA a worldwide, limited license to host, store, process, transmit, and display Your Content solely as needed to operate the Services and generate outputs for you. We do not sell Your Content. See our Privacy Policy for how data is handled.

Feedback. If you send us feedback, suggestions, or ideas about the Services, you grant BWA a perpetual, irrevocable, royalty-free, worldwide license to use that feedback without restriction or compensation.

7. Investment Risk and No Professional Advice

  • BWA is not a brokerage and does not execute trades, hold assets, or manage funds on your behalf.
  • All dashboards, analytics, chat outputs, and newsletter content are provided for informational and research purposes only. They are not a recommendation, solicitation, or offer to buy or sell any security or other financial instrument, and they do not constitute investment, legal, tax, or accounting advice.
  • Investing involves substantial risk, including the loss of principal. Past performance and backtested results do not guarantee future results. Model and AI-generated outputs can be wrong, incomplete, or out of date.
  • You are solely responsible for your own investment decisions, trade execution, and outcomes.
  • Use your own judgment and consider consulting a licensed financial advisor before making investment decisions.

8. Third-Party Content and Market Data

The Services incorporate market data, news, and charting supplied by third-party providers. Such data may be delayed, incomplete, or inaccurate, and is provided for general information only. Do not rely on it as your sole source of information for trading or investment decisions. Third-party data and content remain the property of their providers and may not be redistributed. Links to third-party websites are provided for convenience and do not imply our endorsement of those sites or their content.

9. Disclaimers of Warranty

The Services and all content included in them are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, non-infringement, and uninterrupted or error-free operation. BWA does not warrant that the Services will be secure, timely, available at all times, or free of errors, viruses, or harmful components. Any material or data obtained through the Services is used at your own discretion and risk.

10. Limitation of Liability

To the maximum extent permitted by law, BWA and its owners, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenues, data, or trading losses, arising from or relating to your use of (or inability to use) the Services, even if BWA has been advised of the possibility of such damages. BWA's total aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid BWA for the Services during the twelve (12) months before the claim arose.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.

11. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless BWA and its owners, employees, contractors, and suppliers from and against any third-party claims, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Services, or your violation of applicable law. We will notify you promptly of any claim we seek indemnity for and will cooperate reasonably in its defense.

12. Termination and Changes to the Services

By you. You may stop using the Services at any time and may request deletion of your account by contacting support@bwa.ai.

By us. We may suspend or terminate your account or access to the Services if we reasonably believe you have violated these Terms, failed to pay applicable fees, created risk or legal exposure for us or our users, or misused the Services. Where practicable, we will give notice and an opportunity to cure. We may also modify or discontinue any feature of the Services; for paid features, we will provide reasonable notice and, if we discontinue a paid feature before the end of a prepaid period, a prorated refund of the unused portion.

When your access ends, Sections 6 through 11 and 13 through 16 of these Terms survive and continue to apply.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page with a new effective date and, for material changes, will also provide advance notice by email or in the Services. Your continued use of the Services after the effective date means you accept the updated Terms. If you do not accept them, you may stop using the Services, and cancellation rights under Section 5 apply. It is your responsibility to review these Terms periodically.

14. Privacy

Your use of the Services is also subject to our Privacy Policy, which describes what information we collect, how we use it, and the choices you have. Please read it carefully.

15. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them are governed by the laws of the United States and of the U.S. state in which BWA is organized, without regard to conflict-of-law rules.

Before filing a claim, you and BWA agree to try in good faith to resolve the dispute by contacting us at support@bwa.ai. If we cannot resolve it within 30 days, either of us may bring a claim exclusively in the state or federal courts located in the county of BWA's principal place of business, and you and BWA consent to personal jurisdiction and venue in those courts. Either party may also bring an individual claim in small-claims court of competent jurisdiction.

16. General

  • If any part of these Terms is found unenforceable, the rest of the Terms remain in full force and effect.
  • Our failure to enforce any part of these Terms is not a waiver of that or any other provision.
  • These Terms, together with the Privacy Policy and any additional terms under Section 1, are the entire agreement between you and BWA regarding the Services and supersede any prior agreements about the Services.
  • We may send you notices about your account or these Terms to the email address associated with your account. You may send us notices at support@bwa.ai.
  • You may not assign these Terms without our prior written consent; we may assign them, for example in connection with a merger, acquisition, or sale of assets.
  • The Services are controlled and offered from within the United States, and we make no representation that they are appropriate or available in other jurisdictions. You are responsible for compliance with local law, including applicable export controls and sanctions.
